5.2 Agent Performance Data

The Service collects and processes performance metrics, logs, traces, and other data from your AI agents. This data is used to provide monitoring, analytics, and optimization features. You are responsible for ensuring that your agents comply with all applicable laws and do not violate any third-party rights.

5.3 Content Responsibility

You are solely responsible for Your Content and the actions of your AI agents. We do not endorse, support, or assume responsibility for any content or actions performed by your agents. You represent and warrant that Your Content does not violate any third-party rights or applicable laws.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Baseline Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The AgentBasis name, logo, and related marks are trademarks of Baseline Labs.

6.2 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell or commercially exploit the Service.

7. Payment Terms

7.1 Subscription Fees

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BASELINE LABS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Baseline Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees, arising out of or in any way connected with your use of the Service, Your Content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Baseline Labs operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the appropriate courts of that jurisdiction.
